Terms of Service

These Terms of Service ("Terms") govern your use of the Ophinia mobile application (the "App") and related website experiences, including Ophinia.com (the "Website"), operated by TAPNSIGN LLC d/b/a Ophinia ("Ophinia," "we," "us," or "our"), an Indiana limited liability company. By creating an account or using the App or Website, you agree to these Terms.

1. Eligibility

You must be at least 13 years old to create an account and use collector-facing portions of the App or Website. By using the App or Website, you represent that you meet the applicable age requirements for the features you access.

The App and Website are not intended for children under 13. We do not knowingly permit children under 13 to register. If we become aware that a child under 13 has created an account, we may terminate that account.

Certain features are restricted to adults age 18 or older. Users who are at least 13 but under 18 may browse, save, view, share, and report content where available, but may be restricted from capturing moments, enabling payouts, using creator monetization features, or accessing purchase and paid features.

If we determine that a user has provided false age information, we may terminate that account, reverse transactions completed in violation of these eligibility requirements where possible, and take other action reasonably necessary to protect the platform and other users.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activity that occurs under your account
You must provide accurate and complete information when registering
You may not create an account on behalf of another person without their authorization
You may not share or transfer your account
We may suspend or terminate accounts that violate these Terms or threaten the safety or integrity of the platform

3. The Ophinia Platform

Ophinia is a platform that allows eligible users to capture authenticated moments, create related digital autograph records, share certificates of authenticity, and make official physical prints available where supported. Collectors can discover, save, share, and order official prints of eligible moments where available.

Authenticated moments may include captured media, signature strokes, template styling, thumbnail imagery, print preview imagery, and related metadata. Each authenticated moment may be associated with a Certificate of Authenticity ("CoA") and provenance records maintained on the platform.

4. Creator Eligibility and Payout Setup

Adult users may be eligible to capture moments and use creator features. To enable public prints, receive creator earnings, or use payout-related features, creators may be required to complete payout setup through Stripe Connect. Stripe Connect may require identity, tax, business, bank account, and other compliance information.

Ophinia may also require additional identity review, manual review, or documentation in limited cases, including high-profile accounts, impersonation concerns, fraud concerns, policy violations, or other trust and safety reasons.

We may approve, deny, suspend, or revoke access to creator, print, or payout features at our discretion, including for policy violations, fraud concerns, inaccurate information, or trust and safety reasons.

5. Authenticated Records and Provenance

Ophinia may maintain records of captured moments, creator identity, timestamps, certificates, public profile information, print availability, and related provenance
A physical print purchase does not transfer copyright, trademark rights, publicity rights, digital ownership, commercial rights, or any right to reproduce the underlying content
Certificates of Authenticity and QR destinations are platform records intended to help verify the source and history of an authenticated moment or official print
We are not responsible for off-platform transactions, promises, reproductions, or claims made outside the App or Website

6. Feature Availability

Some creator, print, checkout, payout, identity-review, and account features may be limited, unavailable, or changed from time to time. We may add, remove, pause, or modify features where needed for launch readiness, operational reasons, policy compliance, safety, fraud prevention, or product changes.

7. Payments and Fees

Official print purchases, shipping charges, taxes, and other charges are processed through Stripe or another payment provider
You may be directed from the App into a browser-based checkout, account, identity-review, or payout flow to complete certain transactions
Prices, fees, shipping charges, taxes, discounts, and payout terms are shown before purchase, submission, or payout setup and may change from time to time
Except where required by law or expressly stated in these Terms, payments are final

7.1 Creator Earnings and Payouts

Creators may be eligible to receive earnings from official print sales or other creator monetization features where supported. Creator earnings, payout timing, payout eligibility, payout minimums, payout methods, and related requirements are shown in the App, Website, or payout setup flow and may change from time to time.

Creator earnings are subject to adjustment, withholding, reversal, or offset if an order is refunded, disputed, charged back, canceled, found to be fraudulent, not fulfilled, or otherwise violates Ophinia policies. Ophinia may deduct such amounts from current or future creator earnings where permitted by law.

Creator payouts require an active and eligible payout account. If a creator has not completed payout setup, loses payout eligibility, is suspended, or has unresolved compliance requirements, Ophinia may hold eligible earnings until the issue is resolved or take other action permitted by these Terms and applicable law.

8. Official Prints

Ophinia offers an official print product ("Official Print") that allows eligible users to order a physical print based on an authenticated moment.

8.1 Product Format

Official Print format, pricing, shipping charges, taxes, availability, and discounts are shown at the time of order and may change from time to time.

8.2 Print Records

Each approved print order receives a platform print record and may receive an internal print sequence number for tracking, fulfillment, support, and analytics. Internal print numbering, availability, and ordering rules are controlled by Ophinia and may change as the product evolves.

8.3 Fulfillment

Official Prints are fulfilled by third-party fulfillment partners. We are not responsible for carrier delays, shipping interruptions, customs issues, or production issues caused by third-party vendors, although we may assist in resolving them where reasonably possible. Availability may be limited by destination, fulfillment coverage, or operational constraints.

8.4 Print Previews and No Digital Download

Print previews are provided for review and may differ slightly from final production because of screen display, crop, printer, material, or fulfillment differences. Print files are not sold as downloadable assets. Official Prints are for personal display and collection only. Unauthorized reproduction, resale of print files, or other misuse of the print product is prohibited.

8.5 Damage, Lost Prints, and Reprints

If your print arrives damaged or does not arrive, you may submit a claim through the App or by contacting support. The claim process may require photos, order information, shipping information, and, for damaged prints, proof that the damaged print has been destroyed before a replacement or reprint is authorized.

We may approve or deny claims at our discretion, including where a claim cannot be verified or appears fraudulent. Approved claims may result in a replacement, reprint authorization, refund, or other resolution determined by Ophinia. We may limit the number of active claims per account at any time to prevent abuse.

8.6 Print Refunds

Official Print payments are generally non-refundable except where required by law or where Ophinia expressly approves a refund because of verified damage, technical error, or fulfillment failure.

9. Content Standards

All content uploaded to, submitted through, or displayed on Ophinia, including captured moments, signature strokes, profile photos, usernames, biographies, support materials, and other associated materials, must be appropriate for a general audience. By uploading or submitting content, you represent and warrant that it:

Does not contain nudity, sexual content, or graphic violence
Does not depict, promote, or glorify illegal activity
Does not target, harass, threaten, or demean any individual or group
Does not infringe any third-party intellectual property, trademark, copyright, privacy, or publicity rights
Does not contain defamatory, obscene, hateful, exploitative, unsafe, or misleading material

Public-facing content, including profile pages, certificate pages, QR destinations, shared links, public moments, and print-enabled moments, is subject to the same standards.

We may remove content, deny print fulfillment, cancel orders, restrict accounts, or take other action that we determine is appropriate for violations of these standards.

10. Prohibited Conduct

You agree not to:

Use the App or Website for any unlawful purpose
Impersonate any person or entity or misrepresent your affiliation
Attempt to gain unauthorized access to the App, Website, or supporting infrastructure
Scrape, crawl, extract, or use automated means to access the platform without permission
Manipulate prices, payments, checkout flows, recommendation systems, or platform signals
Engage in fraudulent transactions or submit false damage or lost-print claims
Capture, upload, or monetize content of another person without authorization
Misuse public certificate pages, profile links, or QR flows
Reproduce, distribute, or sell official print files or other Ophinia intellectual property without authorization

11. Intellectual Property

Your content: You retain ownership of content you lawfully create and upload. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, process, print, fulfill, promote, secure, and improve the App and Website
Our content: The Ophinia name, brand assets, product design, software, and related materials are owned by TAPNSIGN LLC or its licensors
Print content: Official Prints are licensed for personal display and collection only unless we explicitly state otherwise

12. Account Deletion

You may delete your account through the App. Upon deletion:

Your profile information may be deleted or anonymized
Public content may be removed, anonymized, or retained where needed to preserve authenticity records, transaction records, or platform integrity
Certain pending activity may be canceled
Some records, including completed transaction history, identity-review history, certificate records, print records, support records, and fraud-prevention data, may be retained as described in our Privacy Policy

Deletion is irreversible except where restoration is legally required or technically necessary to resolve a security, fraud, fulfillment, or support issue.

13. Disclaimers

THE APP AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that:

The App or Website will be uninterrupted, secure, or error-free
Any defects will be corrected
Any public profile, certificate, print preview, checkout experience, or creator feature will always be available
Any print order will be fulfilled within a specific timeframe

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TAPNSIGN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP OR WEBSITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP, WEBSITE, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE PERIOD BEFORE THE CLAIM AROSE, EXCEPT WHERE A DIFFERENT LIMIT IS REQUIRED BY LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless TAPNSIGN LLC and its members, officers, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the App or Website, your transactions, or your violation of these Terms or any third-party rights.

16. Termination

We may suspend, restrict, or terminate your access to the App or Website at any time, with or without notice, if we believe you have violated these Terms, created risk for the platform or other users, or if continued service is no longer commercially or operationally feasible.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms, the App, or the Website shall be brought exclusively in the state or federal courts located in Indiana, and you consent to the jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, through the App, the Website, or email. Continued use of the App or Website after the updated Terms take effect constitutes acceptance of the revised Terms.
